Terms & Conditions

These Terms and Conditions govern your access to and use of the Nilam Tech website and the professional services we offer. Please read them at your own pace. By engaging with our website or services, you indicate that you have read and agree to these terms.

1. Definitions

Throughout these Terms, the following terms carry the meanings set out below:

"Agreement" — these Terms and Conditions together with any signed Service Order or Proposal.
"Service(s)" — AI integration consulting, compliance monitoring implementation, design thinking facilitation, and predictive maintenance advisory provided by Nilam Tech.
"We / Us / Our" — Nilam Tech Sdn. Bhd., registered in Malaysia, operating from 51 Jalan Datin Halimah, 80100 Johor Bahru, Johor.
"Client / You / Your" — the individual or organisation that engages our Services or accesses our website.
"Deliverables" — reports, frameworks, models, documentation, or other work products produced under a service engagement.
"Website" — our online presence accessible at nilamtech.world and all associated pages.

2. Acceptance of Terms

By browsing our website, submitting an enquiry form, or signing a Service Order, you confirm that you:

  • Are at least 18 years of age or represent an organisation with authority to enter binding agreements
  • Have read and understood these Terms
  • Have the legal capacity to enter into a contract under Malaysian law

If you are entering into this Agreement on behalf of an organisation, you warrant that you have authority to bind that organisation to these Terms.

3. Service Description

Nilam Tech provides the following professional consulting and advisory services:

Computer-Assisted Compliance Monitoring

Design and implementation support for AI-assisted regulatory compliance activities, including transaction monitoring frameworks and audit trail analysis.

AI Design Thinking Facilitation

Structured facilitation sessions applying design thinking methodology to AI solution development, producing validated concepts and pilot pathways.

Predictive Maintenance Advisory

Consulting for establishing AI-driven predictive maintenance programmes covering sensor data analysis, failure modelling, and asset management integration.

The specific scope, timeline, and deliverables for each engagement are defined in a separate Service Order or Project Proposal agreed between the parties.

4. Engagement Process

A service engagement is formed when both parties have agreed in writing to a Service Order or Proposal. The typical process is:

  1. 1Initial enquiry submitted via our website or by telephone
  2. 2Discovery conversation to understand requirements and context
  3. 3Service Proposal issued by Nilam Tech detailing scope, timeline, and fees
  4. 4Written acceptance of Proposal and deposit payment to commence work
  5. 5Service delivery and progress updates
  6. 6Final deliverable handover and closing invoice

5. User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information in all communications and forms
  • Cooperate reasonably to enable service delivery, including providing access to systems, staff, and data as agreed
  • Ensure that any data or materials shared with Nilam Tech do not infringe third-party rights
  • Use our website only for lawful purposes and in ways that do not infringe the rights of others
  • Not attempt to interfere with, disrupt, or gain unauthorised access to our systems or data
  • Not reproduce, distribute, or use our website content or deliverables outside the scope permitted under these Terms

6. Intellectual Property

All intellectual property on the Nilam Tech website — including text, graphics, logos, and software — is owned by or licensed to Nilam Tech and protected under Malaysian intellectual property law.

With respect to service deliverables: upon full payment of all applicable fees, Nilam Tech grants the Client a non-exclusive, non-transferable licence to use the Deliverables for the Client's internal business purposes. Nilam Tech retains ownership of its pre-existing methodologies, frameworks, tools, and general knowledge developed in the course of providing services.

Client-provided data, documents, and materials remain the property of the Client at all times.

7. Payment Terms

Fees

Service fees are as stated in the applicable Service Proposal. Prices are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise.

Payment Schedule

A deposit (typically 50%) is due upon acceptance of the Service Proposal. The remaining balance is due upon delivery of final deliverables, unless otherwise agreed in writing.

Late Payments

Invoices are due within 14 days of issue. We reserve the right to pause service delivery for overdue accounts and may apply a late payment charge as specified in the invoice.

Refunds

Deposits are non-refundable once work has commenced. If Nilam Tech cancels an engagement without cause, the deposit will be returned in full. Refunds for milestone-based projects are addressed in the Service Proposal.

8. Confidentiality

Both parties acknowledge that in the course of a service engagement, each may receive confidential information from the other. Each party agrees to:

  • Keep confidential information in strict confidence
  • Use it only for the purposes of the engagement
  • Not disclose it to any third party without prior written consent

Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, or that is required to be disclosed by law or court order.

9. Disclaimers

Our website and services are provided on an "as available" basis. While we take care in the quality of our work, we make no representations that:

  • Our services will meet every specific requirement of the Client
  • Any AI system implemented will be free from errors under all circumstances
  • Outcomes of advisory services will match any particular business result

Our services constitute professional advisory and facilitation support. Clients retain decision-making authority and responsibility for how recommendations are implemented within their own organisations.

10. Limitation of Liability

To the fullest extent permitted under Malaysian law, Nilam Tech's total liability to the Client under or in connection with an engagement shall not exceed the total fees paid by the Client for that specific engagement in the 12 months preceding the event giving rise to the claim.

We shall not be liable for any indirect, consequential, incidental, or special loss or damage, including loss of profit, data, or business opportunity, arising from our services or this Agreement, whether or not we were advised of the possibility of such loss.

11. Indemnification

The Client agrees to indemnify and hold harmless Nilam Tech, its directors, employees, and subcontractors from and against any claims, liabilities, losses, or expenses (including reasonable legal costs) arising from the Client's misuse of our services, breach of these Terms, or infringement of third-party rights through materials provided to Nilam Tech.

12. Termination

Either party may terminate a service engagement by providing 14 days written notice. Upon termination:

  • All fees for work completed to the date of termination become immediately due
  • Nilam Tech will provide any partially completed deliverables to the Client
  • Each party shall return or destroy confidential information of the other as requested

We may suspend or terminate access to our website services immediately if a user breaches these Terms.

13. Dispute Resolution

These Terms are governed by the laws of Malaysia. In the event of a dispute, the parties agree to first seek resolution through good-faith negotiation for a period of 30 days from written notice of the dispute.

If negotiation does not resolve the matter, either party may refer the dispute to mediation through the Malaysian Mediation Centre before initiating formal legal proceedings. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Johor Bahru, Malaysia.

14. General Provisions

Entire Agreement: These Terms, together with any applicable Service Order, constitute the entire agreement between the parties on the subject matter herein and supersede all prior representations.

Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.

Waiver: Failure by either party to enforce any provision does not constitute a waiver of future enforcement.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to an affiliated entity.

Force Majeure: Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural events, government actions, or infrastructure disruptions.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or applicable law. When we make material changes, we will update the date at the top of this page. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms. For ongoing service engagements, changes to Terms do not affect the terms of the existing Service Order.
